Terms and Conditions

These Terms & Conditions (“Terms”) govern your use of the Spoken mobile applications, websites, and services (the “Services”). By accessing or using the Services, you agree to these Terms.

Heads‑up: These Terms use Oregon law with a mediation‑first dispute process (no arbitration clause).

1) Eligibility & Accounts

You must be at least 13 years old to use the Services. You are responsible for your account credentials and for all activity under your account. Provide accurate information and keep it updated.

2) License & Ownership

We grant you a limited, nonexclusive, nontransferable license to use the apps and Services for personal, noncommercial use in accordance with these Terms.

All rights in the Services remain with Spoken and its licensors. Bible texts and translations remain the property of their respective copyright owners and licensors.

3) Your Content

You retain ownership of the audio recordings and other content you create and upload (“User Content”). By uploading or sharing User Content, you grant Spoken a worldwide, royalty‑free license to host, store, reproduce, and transmit your User Content solely to operate the Services and deliver your content to the people you choose (e.g., your Family & Friends network). You also grant other users you share with the right to stream and access your User Content as permitted by your settings.

You are responsible for your User Content. Don’t upload content you don’t have the right to share, unlawful content, or content that violates these Terms.

4) Acceptable Use

  • Do not harass, threaten, or impersonate others; do not post hateful or illegal content.

  • Do not upload malicious code or interfere with the Services.

  • Do not attempt to reverse engineer, circumvent security, or exceed usage limits.

  • Do not use the Services to build a competing product or collect data without consent.

5) Content Moderation & Reporting

We may review or moderate content to enforce these Terms, but we do not undertake to monitor all content. You can report violations via in‑app tools or by email. We may remove content or restrict access in our discretion.

7) Third‑Party Services

Some features rely on third‑party services (e.g., Supabase, Google Cloud Storage, SendGrid). Use of those services may be subject to their terms and privacy practices.

8) Changes to the Services

We may change or discontinue features at any time. If we materially change these Terms, we will provide notice and the new Terms will apply going forward.

9) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. SPOKEN DOES NOT PROVIDE COUNSELING OR PROFESSIONAL ADVICE.

10) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOKEN AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA OR PROFITS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

11) Indemnification

You agree to defend, indemnify, and hold harmless Spoken and our affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content or your breach of these Terms.

12) Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Oregon, without regard to conflict of laws.

Mediation first. If a dispute arises, the parties will attempt in good faith to resolve it through non‑binding mediation in Oregon before filing suit. Either party may seek injunctive relief at any time to protect intellectual property or secure confidential information. Venue for any permitted court action will be in state or federal courts located in Oregon, and the parties consent to jurisdiction there. No class actions; disputes must be brought individually.

13) Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms. Upon termination, Sections 3 and 9–13 survive.
